1. Agreement
These terms govern the use of the Kornify platform — a SaaS solution for AI automation in dental clinics. By using our service, you agree to these terms. Kornify provides B2B services intended for dental clinics and medical practices, not for end patients.
2. Services
Kornify provides: AI reception for 24/7 multilingual call handling; doctor-patient conversation transcription with AI analysis; automated patient reminders via SMS, Telegram, WhatsApp; CRM dashboard for managing leads, appointments, and reminders; integration with clinic CRM systems (CliniCards and others).
3. Data Roles and Responsibilities
The clinic is the data controller of its patients' personal data under Art. 4(7) GDPR. Kornify is a data processor acting on behalf of the clinic under Art. 28 GDPR. Kornify processes data solely according to the clinic's instructions and these terms. The clinic undertakes to have a proper legal basis for transferring patient data to Kornify.
4. Data Processing (DPA)
In accordance with Art. 28 GDPR, Kornify undertakes to: process personal data only on documented instructions from the clinic; ensure that personnel with access to data maintain confidentiality; implement technical and organizational security measures (AES-256 encryption, access control, clinic data isolation); engage sub-processors only with 30 days' prior notice to the clinic; assist the clinic in fulfilling data subject requests (access, deletion, etc.); notify the clinic of data security breaches within 48 hours; delete or return all data upon termination of services; provide the clinic with information necessary to demonstrate compliance with Art. 28 GDPR obligations.
5. Registration
Registration is required to access the CRM. You agree to provide accurate information and maintain the confidentiality of your account credentials. The clinic administrator is responsible for managing staff access and assigning appropriate roles.
6. Payment
Service costs are determined by the selected plan and include a one-time setup fee and monthly subscription. Payment is monthly. We reserve the right to change pricing with 30 days' notice.
7. Service Availability (SLA)
Kornify aims for 99.5% monthly platform uptime, excluding scheduled maintenance (of which we provide 24 hours' notice). We do not guarantee uninterrupted operation of third-party services (telephony, clinic CRM).
8. Limitation of Liability
Kornify's maximum liability for any damages is limited to the amount paid by the clinic for the last 12 months of service. Kornify is not liable for: medical decisions made based on AI analysis; service interruptions caused by third parties (telephony providers, CRM); indirect, incidental, or punitive damages; data loss due to circumstances beyond our control. The AI assistant is not a medical device and does not provide medical advice.
9. Intellectual Property
All rights to the Kornify platform, including code, design, AI models, and algorithms, belong to Kornify. Clients retain full rights to their data, including patient data, transcriptions, and notes. Kornify does not use clinic data to train AI models.
10. Force Majeure
Neither party is liable for failure to perform obligations caused by force majeure: natural disasters, war, cyberattacks, internet infrastructure failures, government actions. The affected party must notify the other party within 5 business days.
11. Termination
Either party may terminate with 30 days' notice. Upon termination: your data is retained for 90 days for export; after 90 days, all data is permanently deleted; we provide data export in standard format (CSV/JSON). Kornify may terminate immediately if the clinic violates these terms or applicable law.
12. Governing Law
For clinics in Ukraine — Ukrainian law applies, disputes are resolved by Ukrainian courts. For clinics in Poland — Polish law applies, disputes are resolved by Polish courts. Data protection provisions are governed by GDPR regardless of jurisdiction.
